Neither has any prep-time/prior knowledge in any round
All fights are to the death/total incap

Round 1 Captain America two shots him. In Civil War he held an helicopter with one hand. The man is a supersoldier, Batman is just a ninja.
Round 2 Batman high diffs. Steve's shield will be a tough one to surpass, but i think Batman is smart enough to overcome it with his skills and stuff.
Round 3 Batman stomps.

Round 1 goes to Captain America. Batman's good but he won't be able to keep up, even if he's a superior martial artist.

Round 2 goes either way depending on the setting (Factory, School, Open Field). If it's the type of place that Batman can use to his advantage and bring stealth into the equation, he wins.

Round 3 goes to Batman. He withstood Supes he can manage Cap.
