It seems this fight is underrated to the most of the fans and prefers their first counterpart. Why?

The first fight was much more desperate where both fighters were crippled to death.Their fight was the climax of the entire arc unlike in their second encounter where attention was turned to majin buu

The 2nd fight has a much better coreography, but like Ahri said the 1st round was the peak of the saga and was the true fight for their lifes.

The narrative and execution are the main reasons. Their first fight, as already mentioned, had far more tension behind it due to both being enemies, the Dragon Balls being gone and both damaging each other to the breaking point. Their rematch was pretty short and uninteresting manga-wise, whilst it's anime counterpart suffered from a few animation problems, as well as seeming to suggest Vegeta had the advantage when the two should've been completely equal.

Also, who won in their 1st bout? I think it was Vegeta since Goku begged Krillin not to kill Vegeta so he can defeat him if they fight again IMO.

It's an over rated fight...not under rated. Doesnt even belong in the top 10 of Z.

2nd fight has nothing going for it beyond Vegeta's melodrama and the fact that filler actually helped improve the fight imo, and as stated before several scenes were poorly animated especially in the first and last episodes of the fight.

It would've been a lot more interesting if Vegeta had been put under spell against his will. The fight had so much potential, the problem was that there was no weight behind it. Vegeta let himself get controlled and just fought Goku out of selfishness, if he was fighting Goku against his own will then it could've been a lot more enjoyable.

The fight in the manga fucking sucks. The anime is pretty bad too, so repetitive..

The manga fight is trash. It's a couple pages of nothing spectacular. The anime fight at least whipped out some cool combos and unique techniques, even if the animation was god awful at times.

None gives a damn about manga fights and it's the anime version that people talk about when it comes dbz fights. :punk

Because the manga fights tend to be very short and lack interesting choreography after Part 1. The only fight in DBZ that was better in the manga was the battle against Freeza due to a lack of filler, whilst in terms of choreography, the only fight equally as good in the manga as it's anime counterpart from it's Z portion aside from that was Piccolo VS #17 and maybe Gotenks VS Boo.
