Cooler wins imo.

Cell is stated to be stronger than the SSJs, but nothing more.
Metal Cooler isn't only shown to be stronger than the SSJs, but he's also shown to kick the butt of two SSJs.

Now that I think about it, I also don't believe the Taiyo-ken would be certain to work against Cooler. That probably cut's down on Cell's more deceitful tactics. So does Cooler's metallic body do the same, since Cell has been shown to go for the instant kill, which would be an option here, in my opinion.
