Hmm. Probably Black, I don't know how to explain this lmao.

Black Goku wins at both. Black Goku could probably slice Cell up with ease then blow him away with his Rose Kamehameha easily. Black is incredible durability being able to suffer no damage in his base form from Super Saiyan Blue Vegeta.

Black wins with ease since he seems to memorize each character's fighting style from taking simple hits and adjust accordingly, so nothing short of blowing himself up and regenerating could hand SPC the win imo. The blade he uses seems to be capable of piercing almost anything like the Kienzan too imo, so no way Cell's tanking that.

If Cell makes proper use of his techniques such as Kienzan or launching surprise Shunkan Ido attacks he can land a swift victory. If he drags the fight on though, he loses.

Cell's personality will cause him to drag on the fight in order to enjoy it the most though, so I don't see the former scenario happening.
